Terms of Service

1. Scope
These Terms of Service apply to all contracts concluded between Oracle Desk GmbH ("Provider") and the customer regarding the use of the Oracle Desk Business Management Software.
2. Subject of Contract
The Provider provides the customer with cloud-based business management software. The scope of services is defined by the respective service description and the selected plan.
3. Contract Formation
The contract is formed through the customer's registration and confirmation by the Provider. By registering, the customer agrees to these Terms of Service.
4. Provider's Services
4.1 Software-as-a-Service
The Provider offers the software as a SaaS solution. Availability is at least 99% on annual average.
4.2 Support
Depending on the selected plan, the Provider offers various support levels:
- Starter: Email support
- Professional: Priority support
- Business: 24/7 support
- Enterprise: VIP support with dedicated account manager
5. Customer Obligations
The customer commits to:
- Use the software only for legal purposes
- Keep access credentials confidential
- Perform regular data backups
- Pay agreed fees on time
6. Prices and Payment
Prices are based on the current price list. Billing is monthly or annually in advance. In case of payment default, the Provider is entitled to block access to the software.
7. Contract Duration and Termination
The contract is concluded for an indefinite period. It can be terminated by either party with one month's notice to the end of the month. The right to extraordinary termination remains unaffected.
8. Liability
The Provider is unlimitedly liable for intent and gross negligence. In cases of slight negligence, the Provider is only liable for breach of essential contractual obligations and limited to foreseeable, contract-typical damages.
9. Data Privacy
The Provider commits to comply with all data protection regulations. Details are governed by the privacy policy.
10. Changes to Terms of Service
The Provider reserves the right to change these Terms of Service. Changes will be communicated to the customer at least four weeks before they take effect. If the customer does not object within two weeks, the changes are considered accepted.
11. Final Provisions
The law of the Federal Republic of Germany applies. The place of jurisdiction is Berlin. Should individual provisions be invalid, the validity of the remaining provisions remains unaffected.
